These Terms of Use (“Terms”) govern your access to and use of the Mindchart platform (“Mindchart”, “we”, “us”, or “our”). By accessing or using Mindchart, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

1. About Mindchart

Mindchart is a digital software platform designed to support the collection, tracking, and visualisation of mental health and wellbeing outcome data, including the use of validated questionnaires and reporting tools.

Mindchart does not provide medical advice, diagnosis, or treatment, and does not replace professional clinical judgement.

3. Acceptance of These Terms

By accessing, browsing, or using Mindchart (including during a trial period), you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using Mindchart on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

4. Accounts and Security

To access Mindchart and its features, you are required to register for an account:

  • You must provide accurate, current, and complete information during the registration process.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity under your account.
  • You must ensure only authorised users access your account.
  • You must notify us immediately of any unauthorised access or security breach.

5. Permitted Use of Mindchart

You may use Mindchart only for lawful, professional purposes within your role and authority, and in compliance with applicable laws and professional standards.

Mindchart Health Ltd grants you a limited, non-exclusive, non-transferable, and revocable license to use Mindchart solely for your professional use. You may not sub-license, distribute, modify, or create derivative works based on Mindchart.

You are solely responsible for any content submitted to, uploaded, or displayed on Mindchart. You agree that any user-generated content complies with applicable laws and regulations, and does not infringe on the rights of third parties.

You agree not to use Mindchart for any unlawful or fraudulent purposes, interfere with or disrupt the integrity or performance of Mindchart, attempt to gain unauthorised access to any part of Mindchart or its related systems or networks, reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or algorithms of Mindchart.

You agree to protect the privacy and confidentiality of any patient, client, employee or other information you input into Mindchart, ensuring compliance with all applicable data protection laws and regulations.

6. Disclaimer of Warranties

Mindchart is provided “as is” and “as available” without warranties of any kind, whether expressed or implied. Mindchart Ltd makes no representations or warranties regarding the accuracy, completeness or reliability of the service.

Mindchart provides measurement and reporting tools only and does not interpret data for diagnosis or treatment, and does not provide safeguarding or clinical oversight. All clinical, ethical, and safeguarding responsibilities remain entirely with you.

7. Data Protection and Privacy

Our processing of personal data is governed by our Privacy Policy. In summary, you act as Data Controller for any client, patient, or participant data you upload. Mindchart acts as Data Processor, processing data only on your instructions. You are responsible for ensuring lawful bases, consent, and compliance with data protection laws.

8. Pricing and Subscriptions

Mindchart requires a paid subscription to access the platform and its features. The pricing details for each plan is published on our website or agreed separately during the onboarding process. By subscribing to any of our plans, you agree to abide by the Terms of Use outlined in this policy.

Users will be billed according to the billing cycle thay have selected during the onboarding/subscription process. The specific billing date for each user will depend on their subscription start date.

When subscribing to a paid account to use Mindchart, you consent to pay applicable fees using the payment methods made available by Mindchart at any given time.

Mindchart reserves the right to change the pricing of its subscription plans and features at any time. However, we are committed to providing our users with notice of any price changes with users notified of any price changes via email at least 30 days before the changes take effect. If you are subscribed to an annual plan, the price you pay will remain unchanged for the duration of that annual subscription. This is subject to the Terms of Use of your subscription, including payment of the annual subscription fee.

Mindchart may offer promotional pricing for new users for a limited time period. Such promotions are subject to change or termination at Mindchart’s discretion. Mindchart may offer trial periods to new users. The terms of any trial period will be clearly stated during the sign-up process. The end of the trial period, users will be automatically billed for the selected subscription plan unless the subscription is cancelled before the trial period expires.

Mindchart does not offer refunds for subscription fees. If you choose to cancel your subscription, you will not be eligible for any refund for any unused portion of your subscription period.

Failure to pay subscription fees in a timely manner may result in the suspension or termination of your Mindchart account. Mindchart will make reasonable efforts to notify you of any payment issues before taking such action.

By using Mindchart, you acknowledge that you have read, understood and agreed to the pricing and price change terms outlined in this section. It is your responsibility to review these terms periodically for any updates or changes. If you do not agree with these terms, please discontinue your use of Mindchart.

9. Intellectual Property

All intellectual property rights in Mindchart including, but not limited to, software, branding, content, and any other materials are the property of Mindchart Health Ltd or its licensors and are protected by intellectual property laws.

Mindchart Health Ltd grants you a limited, non-exclusive, non-transferable licence to use the intellectual property provided through Mindchart for the purpose of using the service. You may not reproduce, distribute, modify, or create derivative works from our intellectual property without explicit written permission.

10. Changes to These Terms

Mindchart Health Ltd may update these Terms at any time without prior notice. Updated Terms will be posted on our website with a revised date of the latest revision indicated at the top of the document. Continued use of Mindchart after the revised Terms constitutes acceptance. Upon updating these Terms, Mindchart Health Ltd with notify registered uses through their registered email address.

11. Limitation of Liability

Mindchart shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly of indirectly, arising out of you use or inability to use Mindchart.

12. Termination

You may stop using Mindchart and terminate your account at any time by emailing Mindchart at [email protected]. Mindchart Health Ltd reserves the right to terminate or suspend your access to Mindchart at any time, without notice, for any reason, including but not limited to violation of these Terms. Upon termination of your account, your access to MIndchart will cease, and any data associated with your account will be deleted, subject to our data retention policies and giving you a notice period to extract your data from the platform. Sections of these Terms that by their nature should survive termination (such as Intellectual Property, Dispute Resolution, and Governing Law) will continue to apply.

13. Relationship to Other Agreements

If you have entered into a separate written agreement with Mindchart governing your use of the Services, that agreement shall take precedence over these Terms to the extent of any conflict.

14. Governing Law and Dispute Resolution

These Terms any disputes arising out of or related to them shall be governed by the laws of England and Wales, United Kingdom. Any legal action of proceedings arising under or in connection with these Terms shall be brought exclusively in the courts of England and Wales who shall have exclusive jurisdiction.

Before initiating ay formal legal proceedings, you and Mindchart Health Ltd agree to make reasonable efforts to resolve any disputes or claims informally through good-faith negotiations or alternative dispute resolution methods, such as mediation.
